GENERAL MEETING OF MEMBERS

 

Competence of the General Meeting of Members:

 1) Amends the Association’s Statutes;

 2) Elects and recalls members of the Council;

 3) Determines the amount of the admission fee and membership fees, as well as the procedure for their payment;

 4) Approves the annual financial statements of the Association;

 5) Adopts decisions on the restructuring or dissolution (reorganization or liquidation) of the Association;

 6) Adopts decisions regarding the audit of the annual financial statements and elects an auditor or audit firm.

 

 

COUNCIL

The Council is a collegial management body of the Association composed of 19 members.

The Council is elected for a four-year term by the General Meeting of Members.

 

The Council:

 1) Admits and expels members of the Association;

 2) Determines targeted contributions and the procedure for their payment;

 3) Elects the President and Vice-Presidents of the Association for its term of office;

 4) Upon nomination by the President, appoints and dismisses the Director of the Association;

 5) Approves the annual income and expenditure budget of the Association for each financial year;

 6) Decides on the establishment of other legal entities or participation in other legal entities; decides on the Association’s membership in international organizations;

 7) Establishes committees of the Association;

 8) Establishes honorary titles and awards of the Association;

 9) Performs other functions provided for in the Statutes of the Association, decisions of the General Meeting of Members, or the Council’s rules of procedure.

 

 

PRESIDENT

The President represents the Association in institutions, agencies, and organizations of Lithuania and foreign countries, in international organizations, as well as in relations with the Association’s partners and other third parties.

The President of the Association is elected by the Council for the duration of its term of office.

The President of the Association is Dalius Gedvilas.

 

VICE-PRESIDENTS

The Vice-Presidents perform the functions of the President when the President is unable to perform them or assigns these functions to one of the Vice-Presidents.

The Vice-Presidents are elected by the Council for its term of office upon nomination by the President.

The Vice-Presidents of the Association are:

Kęstutis Vanagas – CEO of UAB “YIT Lietuva”.

Vytautas Vankevičius – Founder of UAB “Staticus”.
